This Policy is issued by Biofinest LLC (“Biofinest”) and applies to the retail sale of Biofinest products (“Product(s)”) within the jurisdictions in which you operate and are authorized by Biofinest. By purchasing Products from Biofinest for retail sale, you (“Retailer”) agree to comply with this Policy. This Policy supplements any then-current retailer agreement between you and Biofinest. If there is a conflict between this Policy and a prior Biofinest policy or agreement, this Policy controls. Until revoked by Biofinest, in its sole discretion, Retailer is considered an “Authorized Retailer.” Biofinest may review Retailer’s activities for compliance, and Retailer agrees to cooperate with any such review, including reasonable inspection of facilities and relevant records related to the Products.

1) Authorized Customers
Retailers are authorized to sell Biofinest Products only to “End Users.” An End User is the ultimate consumer who does not intend to resell the Products. Retailers shall not sell or transfer Products to any person or entity they know or should know intends to resell, nor may they sell quantities that exceed typical personal-use amounts

2) Online Sales
Retailers may not advertise, market, offer for sale, or sell Products on or through any website, mobile app, online marketplace, or other online forum without Biofinest’s prior written consent, granted via a Biofinest Internet License and Distribution Agreement or equivalent authorization. This restriction includes, but is not limited to, third-party marketplaces such as Amazon, eBay, Walmart Marketplace, Shopee, Lazada, Tokopedia, Qoo10, Rakuten, Flipkart, JD.com, Tmall, and other global or regional marketplaces. It also applies to comparison shopping engines, group-buying sites, and social-commerce shops unless expressly approved in writing. Any prior online sales authorization, if granted, is revoked unless renewed in writing by Biofinest. Retailers who wish to sell on their own proprietary websites may apply for written approval by contacting [email protected]. Authorization for third-party marketplaces is strictly limited and generally not granted.

3) Sales Practices 
Retailers must conduct business ethically and in full compliance with all applicable laws and regulations governing the advertising, handling, sale, and marketing of the Products. They may not make warranties or representations about Biofinest Products beyond those expressly authorized by Biofinest. All Products must be presented professionally, and retailers must avoid conduct that could damage the reputation of the Biofinest brand.

4) Product Care, Customer Service & Quality Controls
Retailers must follow all Biofinest instructions for storage, handling, shipping, disposal, and product care, including keeping Products in a cool, dry place away from direct sunlight. Products must be sold only in their original packaging, and relabeling, repackaging, splitting or bundling with non-Biofinest items is not permitted. Labels, literature, and identifiers such as serial numbers, UPCs, and batch or lot codes may not be removed or altered, and Products must never be tampered with or diluted. Products that are opened, returned, or repackaged may not be represented as “new.” Retailers must promptly inspect Products upon receipt for damage, defects, broken seals, tampering, or other nonconformities, and report any such issues to [email protected]. Inventory must be regularly checked for expired or short-dated Products, which may not be sold and must be properly disposed of in accordance with Biofinest instructions. Retailers are also expected to maintain sufficient product knowledge to advise customers on safe use, warranties, and return policies, and to provide responsive customer service. Technical questions should be directed to [email protected]. Retailers must also cooperate with Biofinest on any product tracking or authentication systems, product recalls, or consumer-safety communications, and must promptly report customer complaints, safety issues, or adverse claims. They must assist Biofinest in investigations and disclose information about product sources, shipment, and handling when requested.

5) Intellectual Property
Biofinest and its licensors own all rights in and to the Biofinest names, logos, trademarks, service marks, trade dress, copyrights, and other intellectual property. Retailers are granted a limited, non-exclusive, non-transferable, and revocable sublicense to use Biofinest intellectual property solely for the purpose of marketing and selling Biofinest Products in accordance with this Policy and any brand guidelines provided. All goodwill arising from such use belongs exclusively to Biofinest or its licensors. Biofinest reserves the right to review and approve any use of its intellectual property in its sole discretion. Retailers may not register or use any domain name, social handle, or app name that includes a Biofinest mark, Product name, or any misspelling or confusingly similar variation.

6) Minimum Advertised Price (MAP)
Biofinest maintains a unilateral Minimum Advertised Price (MAP) Policy that applies to all authorized sellers across relevant jurisdictions, including the United States and Asia. All retailers must adhere to the MAP Policy when advertising Biofinest Products. MAP compliance is a separate requirement from this Policy, and Biofinest does not seek or accept agreements regarding MAP. Enforcement of MAP is unilateral. 7) Audit & Records
Retailers must allow Biofinest, upon reasonable notice, to audit compliance with this Policy. This may include inspection of relevant purchase, inventory, and sales records related to Biofinest Products.

8) Termination
If a Retailer violates this Policy, Biofinest may revoke Authorized Retailer status by written or electronic notice. Upon termination, the Retailer must immediately cease selling Biofinest Products, discontinue representing itself as an Authorized Retailer or as affiliated with Biofinest, and stop using all Biofinest intellectual property.

9) Modification
Biofinest reserves the right to update, amend, or modify this Policy at any time. Unless otherwise stated, such changes are effective immediately. A Retailer’s continued sale or advertisement of Products, use of Biofinest intellectual property, or use of any Biofinest materials constitutes acceptance of the updated Policy.

10) Confidentiality
 This Policy and any related non-public materials provided by Biofinest are confidential and proprietary. Retailers may not disclose them to third parties or use them for any purpose other than the authorized advertising and sale of Biofinest Products without Biofinest’s prior written consent.
